1. Agreement to Terms

These Terms of Service govern your access to and use of the HashtagPro website and services, including any content, functionality, and services offered on or through https://hashtagpro.ai (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision, in our sole discretion, is material, we will notify you via email to the email address associated with your account or through the Service. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

By using the Service, you also agree to our Privacy Policy, which describes how we collect, use, and share your personal information. Our Privacy Policy is incorporated into these Terms by reference.

2. Definitions

In these Terms:

• "We," "us," and "our" refer to Singularity L.L.C-FZ, incorporated in the United Arab Emirates, with its principal place of business at Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, UAE, Dubai, United Arab Emirates.
• "You" and "your" refer to the individual or entity accessing or using the Service.
• "Content" means any information, data, text, images, videos, or other materials that users upload, submit, post, or transmit through the Service.
• "User Content" means any Content that users upload, submit, post, or transmit through the Service.
• "HashtagPro Content" means any Content that we provide through the Service, including but not limited to hashtags, captions, and other AI-generated content.

3. Accessing the Service and Account Security

To access the Service, you may be required to provide certain registration details or other information. All information you provide must be correct, current, and complete.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account or password.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion if we believe that user conduct violates applicable laws or is harmful to our interests or those of another user of the Service.

4. User Eligibility and Age Requirements

You must be at least 18 years of age to use the Service. If you are under 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet all eligibility requirements.

The Service is not intended for use by individuals in jurisdictions where such use would be contrary to local laws or regulations. You are responsible for complying with all applicable laws and regulations in your jurisdiction regarding online conduct and acceptable content.

5. Subscription Terms and Payment

The Service offers various subscription plans as described on our website. By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. Subscription fees are payable in advance and will be billed automatically according to the billing cycle of your chosen plan (monthly or annually).

You authorize us to charge the payment method you provide for the subscription fees. If your payment cannot be completed, we may suspend or terminate your access to the Service.

You can upgrade, downgrade, or cancel your subscription at any time through your account dashboard. When upgrading, the change will take effect immediately, and you will be charged a prorated amount for the remainder of your current billing cycle. When downgrading, the change will take effect at the start of your next billing cycle.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties associated with your purchase, except for taxes based on our income.

We offer a 14-day money-back guarantee for all new paid subscriptions. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase by contacting Contact us.

6. User Content and Licenses

Our Service allows you to upload, submit, store, and share Content, including photos and videos for hashtag generation.

You retain all ownership rights in your User Content. We will only store and process your User Content as necessary to provide you with the Service. We will not use your User Content for any purpose other than operating our business and providing you with the HashtagPro services you've requested.

By using our Service, you grant us permission to store your User Content on our servers and to analyze it solely for the purpose of generating hashtags and other recommendations for you. This permission is limited to what is necessary to provide the Service and does not grant us any rights to use your User Content for marketing, training our AI models, or any other purpose not directly related to providing you with the Service.

Important: Neither HashtagPro nor OpenAI (our AI service provider) will train AI models on your uploaded content. Your content is only used to generate hashtags and captions for you, not to improve AI systems for other users or purposes.

You represent and warrant that: (i) you own or control all rights in and to the User Content you provide; (ii) your User Content does not violate any privacy, publicity, copyright, or other intellectual property or other rights of any person or entity; and (iii) your User Content does not violate any applicable laws or regulations.

We are not responsible or liable for any User Content. Although we have no obligation to monitor User Content, we may remove any User Content at any time without notice if we believe, in our sole discretion, that it violates these Terms or applicable laws.

7. Feedback and Suggestions

We welcome feedback, comments, and suggestions for improvements to the Service ("Feedback"). You can submit Feedback by emailing us at Contact us or through any feedback mechanisms we provide.

You grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose, without any compensation, credit, or attribution to you.

This means that any ideas, suggestions, or recommendations you provide may be used by us without any obligation to compensate you or seek your permission.

8. Artificial Intelligence and Generated Content

The Service uses artificial intelligence technology from OpenAI to analyze your User Content and generate hashtags, captions, and other recommendations. The HashtagPro Content is provided for informational purposes only, and we do not guarantee the accuracy, completeness, effectiveness, or appropriateness of any HashtagPro Content.

You are solely responsible for reviewing, editing, and approving any HashtagPro Content before using it. We are not responsible for any consequences resulting from your use of HashtagPro Content.

Unlike many AI services, we do not use your content to train or improve our AI systems. When your content is processed by OpenAI's systems, it is used only to generate recommendations for you and is not used to train or improve their AI models either. This is an important privacy protection we provide to our users.

The AI analysis process is automated and does not involve human review of your content unless specifically required for customer support or troubleshooting purposes that you initiate.

9. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Singularity L.L.C-FZ and its licensors. The Service is protected by copyright, trademark, and other laws of the United Arab Emirates and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Singularity L.L.C-FZ.

You may use HashtagPro Content as permitted through your subscription plan, but this does not transfer any ownership or intellectual property rights in the HashtagPro Content to you.

10. Prohibited Uses

You agree not to use the Service for any purpose that:

• Violates any applicable law or regulation.
• Infringes the rights of any third party, including but not limited to intellectual property rights.
• Involves uploading or transmitting harmful, threatening, or offensive content.
• Attempts to interfere with, compromise the system integrity or security, or decipher transmissions to or from the servers running the Service.
• Imposes an unreasonable or disproportionately large load on our infrastructure.
• Involves using any robot, spider, or other automatic device to access the Service.
• Involves collecting or harvesting any personally identifiable information from the Service.

We reserve the right to terminate or restrict your access to the Service if, in our judgment, you have violated any provision of these Terms.

11. Export Compliance

The Service may be subject to export laws and regulations of the United Arab Emirates and other countries. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated as a "terrorist supporting" country, and that you are not listed on any government list of prohibited or restricted parties.

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the United States Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, when using the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Singularity L.L.C-FZ AND ITS AFFILIATES, SUBSIDIARIES, PARTNERS, OFFICERS, DIRECTORS, AGENTS, AND EMPLOYEES DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

YOU ACKNOWLEDGE AND AGREE THAT THE SERVICE RELIES ON THIRD-PARTY APIs AND SERVICES, INCLUDING BUT NOT LIMITED TO OPENAI AND SUPABASE. Singularity L.L.C-FZ HAS NO CONTROL OVER THE AVAILABILITY OR FUNCTIONALITY OF THESE THIRD-PARTY SERVICES. THE SERVICE MAY EXPERIENCE OUTAGES, REDUCED FUNCTIONALITY, OR TEMPORARY UNAVAILABILITY DUE TO ISSUES WITH THESE THIRD-PARTY DEPENDENCIES, AND Singularity L.L.C-FZ SHALL NOT BE LIABLE FOR ANY INTERRUPTION, DELAY, OR FAILURE OF THE SERVICE RESULTING FROM SUCH THIRD-PARTY SERVICES.

WHILE WE STRIVE TO PROVIDE HELPFUL AND ACCURATE HASHTAG AND CAPTION RECOMMENDATIONS, WE DO NOT GUARANTEE THAT USING OUR SERVICE WILL RESULT IN ANY SPECIFIC INCREASE IN ENGAGEMENT, FOLLOWERS, OR OTHER METRICS ON SOCIAL MEDIA PLATFORMS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Singularity L.L.C-FZ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO Singularity L.L.C-FZ IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED UNITED ARAB EMIRATES DIRHAMS (AED 100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Singularity L.L.C-FZ, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the HashtagPro Content, services, and products other than as expressly authorized in these Terms.

15. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Singularity L.L.C-FZ.

Singularity L.L.C-FZ has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Singularity L.L.C-FZ shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account dashboard.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than for payment of money due) to the extent such failure or delay is caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

If a force majeure event occurs, the affected party shall be excused from any further performance of its obligations affected by the force majeure event for as long as the event continues and such party continues to use commercially reasonable efforts to resume performance.

18. Notices

Any notices or other communications provided by Singularity L.L.C-FZ under these Terms, including those regarding modifications to these Terms, will be given: (i) via email to the email address specified in your account; or (ii) by posting to the Service. Notices given via email will be effective when we send the email, and notices we provide by posting will be effective upon posting.

Such notices will be deemed received 24 hours after the email is sent, or three business days after the date of mailing for physical mail.

19. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

20. Dispute Resolution

We aim to resolve any disputes amicably through our customer support channels. Please contact us at Contact us with any concerns before pursuing formal legal action.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good faith negotiations between the parties for a period of thirty (30) days from the date the dispute arises.

If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the Dubai Courts (onshore courts of Dubai), applying the laws of the United Arab Emirates. The proceedings shall be conducted in Arabic, with translations provided as necessary.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data protection, intellectual property, or unauthorized access to the Service.

21. Entire Agreement, Assignment, and No Third-Party Beneficiaries

Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire and exclusive understanding and agreement between Singularity L.L.C-FZ and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Singularity L.L.C-FZ and you regarding the Service.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Singularity L.L.C-FZ's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Singularity L.L.C-FZ may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

No Third-Party Beneficiaries: These Terms do not confer any third-party beneficiary rights on any person or entity who is not a party to these Terms.

22. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
